1. Agreement to Terms

By accessing or using the services provided by Administrate ("we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use our services.

These Terms constitute a legally binding agreement between you and Administrate, a company registered and operating under the laws of Queensland, Australia, with our principal place of business in Brisbane, Queensland, Australia.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after any such changes constitutes your acceptance of the new Terms.

2. Description of Services

Administrate provides a software-as-a-service (SaaS) platform that enables users to manage their business operations, including but not limited to team management, project organisation, and related productivity tools (the "Services").

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

3. Account Registration and Security

To access certain features of the Services, you must register for an account. When registering, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorised access or security breach

You must be at least 18 years of age or the age of legal majority in your jurisdiction to create an account and use our Services. By creating an account, you represent and warrant that you meet this requirement.

4. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Services in any way that violates any applicable Australian federal, state, or local law or regulation, or the laws of any other jurisdiction
  • Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity
  • Interfere with or disrupt the Services or servers or networks connected to the Services
  • Attempt to gain unauthorised access to any portion of the Services or any other systems or networks
  • Use any robot, spider, scraper, or other automated means to access the Services
  • Transmit any viruses, worms, defects, Trojan horses, or other items of a destructive nature
  • Use the Services to send unsolicited communications (spam)
  • Infringe upon the intellectual property rights of others

5. Subscription and Payment

Certain features of the Services require a paid subscription. By subscribing to a paid plan, you agree to pay the applicable fees as described at the time of purchase.

Billing: Subscription fees are billed in advance on a monthly or annual basis, depending on your chosen plan. All fees are quoted and payable in Australian Dollars (AUD) unless otherwise specified.

Automatic Renewal: Your subscription will automatically renew at the end of each billing period unless you cancel it before the renewal date. You authorise us to charge your payment method for the renewal.

Price Changes: We may change our subscription fees at any time. Any price changes will take effect at the start of your next billing period following notice of the change.

Refunds: Subscription fees are generally non-refundable, except where required by Australian Consumer Law. If you believe you are entitled to a refund, please contact us.

GST: All prices are exclusive of Goods and Services Tax (GST) unless otherwise stated. GST will be added where applicable in accordance with Australian tax law.

6. Intellectual Property Rights

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Administrate, its licensors, or other providers of such material and are protected by Australian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your personal or internal business purposes, subject to these Terms.

You retain ownership of any content you upload, submit, or create using the Services ("User Content"). By uploading User Content, you grant us a non-exclusive, worldwide, royalty-free licence to use, reproduce, modify, and display such content solely for the purpose of providing the Services to you.

7. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

We comply with the Privacy Act 1988 (Cth) and the Australian Privacy Principles (APPs). By using our Services, you consent to the collection, use, and disclosure of your personal information as described in our Privacy Policy.

8. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable law that cannot be excluded, restricted, or modified.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Administrate, its directors, officers, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the Services
  • Any conduct or content of any third party on the Services
  • Any content obtained from the Services
  • Unauthorised access, use, or alteration of your transmissions or content

Our total liability to you for all claims arising out of or relating to these Terms or your use of the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100 AUD, whichever is greater.

10. Indemnification

You agree to defend, indemnify, and hold harmless Administrate and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your violation of these Terms or your use of the Services, including but not limited to your User Content, any use of the Services other than as expressly authorised in these Terms, or your use of any information obtained from the Services.

11. Termination

You may terminate your account at any time by contacting us or using the account deletion feature in your account settings, if available.

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Queensland, Australia, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to mediation in Brisbane, Queensland, Australia.

If mediation is unsuccessful, the dispute shall be resolved by the courts of Queensland, Australia, and you consent to the exclusive jurisdiction of such courts.

13. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy and any other legal notices published by us on the Services, constitute the entire agreement between you and Administrate concerning the Services.

Severability: If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
